1. General Provisions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Scope of application:<\/strong> Unless otherwise agreed in writing, these general terms and conditions apply to all deliveries of Shaanxi Huatai Bio-Fine Chemical Co., Ltd. (hereinafter referred to as \u201cthe company\u201d). The descriptions, data and illustrations of the listed products are for reference only and are not binding. The company reserves the right to change the product structure and implementation method.<\/p>\n

Constraints on customer terms:<\/strong> Terms proposed by customers that are contrary to, additional to, or different from these general sales terms and conditions do not constitute contract content unless the company agrees in writing. Even if the company executes deliveries while knowing the customer\u2019s special terms, these general sales terms and conditions still take precedence.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

Price description:<\/strong> The price is the ex-factory price and does not include packaging, insurance, value-added tax and other expenses.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

3. Order Confirmation<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Confirmation method:<\/strong> The acceptance of an order is confirmed in writing. An order is officially accepted only after receiving the company\u2019s order confirmation.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

4. Supply<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Weight tolerance:<\/strong> For customized products, a deviation of \u00b11% from the ordered weight is allowed.<\/p>\n

Delivery period:<\/strong> The company will try its best to comply with the listed delivery periods, but they are not absolutely binding. If the delivery period is exceeded, the customer has no right to cancel the order or claim damages.<\/p>\n

Partial delivery:<\/strong> Partial delivery is allowed and is regarded as an independent transaction.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

5. Risk and Ownership<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

Risk transfer:<\/strong> Risk is usually transferred to the buyer when the goods are dispatched and leave the company\u2019s factory.<\/p>\n

Retention of title:<\/strong> The ownership of the supplied goods belongs to the company until the customer makes full payment.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

6. Payment Terms<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Payment period:<\/strong> Payment should be made in net price within 30 days after the invoice date without any deductions. Payments for partial deliveries should be made according to the invoice requirements. If the payment period is exceeded, commercial overdue interest will be calculated. The company reserves the right to request advance payment.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

7. Returns and Guarantees<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Complaints:<\/strong> If the customer has objections to the quality and quantity of the product, they should submit a written complaint to the company within 7 working days after the goods arrive so that the company can conduct investigations and handling in a timely manner. If no complaint is submitted within this period, it is deemed that the customer approves the quality and quantity of the goods. For damages that occur during transportation, the customer should inspect on the spot when receiving the goods and submit a written statement to the transportation company, and immediately notify the company. The company will assist the customer in claiming compensation from the transportation company, but the company does not bear direct liability for damages within the scope of the transportation company\u2019s responsibility.<\/p>\n

Return credit:<\/strong> If the customer needs to return goods, they should communicate with the company\u2019s sales department in advance and obtain consent. When returning goods, a copy of the invoice for the returned goods and a detailed return description must be attached.<\/p>\n

  • Full refund (deducting reasonable freight): The goods are in original packaging, unopened and without any damage, and within 15 days from the invoice date.<\/li>\n
  • 80% refund: The goods have been opened but are basically in good condition, and within 30 days from the invoice date.<\/li>\n
  • 50% refund: The goods are slightly damaged but do not affect basic use, and within 90 days from the invoice date.<\/li>\n
  • For goods with a value lower than RMB 1000, generally no refund will be given, but it can be handled through negotiation according to specific circumstances.<\/li>\n <\/ul>\n

    Guarantee:<\/strong> Under the condition of correct use in accordance with the product instructions, the company provides a one-year quality guarantee for the product. The guarantee scope is limited to manufacturing defects of the product itself. Damages caused by improper storage, incorrect use methods or other improper handling by the customer are not within the guarantee scope. For goods that cannot be used normally due to manufacturing defects, the company will handle them by replacement or refund according to the situation.<\/p>\n

    8. Force Majeure<\/h2>\t\t\t\t<\/div>\n\t\t\t\t

    If the company is hindered in product delivery due to force majeure factors, the company will be exempted from performance obligations during the duration of the obstruction and a reasonable start-up time, and will not be liable for damages to the customer. Similarly, if unforeseen and uncontrollable circumstances such as labor disputes, pandemics, epidemics, government measures, energy shortages, mobilizations, wars, natural disasters, delivery obstacles of suppliers or major operational interruptions (especially cyber attacks) make it unreasonably difficult or temporarily impossible for the company to fulfill its obligations, this provision also applies. If these situations occur at a lower-level supplier, this provision also applies. Even if the company is already in default, this provision still applies.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

    Place of performance, jurisdiction and applicable law:<\/strong> The place of performance and jurisdiction is Room 1901, Unit 1, Building 2, Wanda Plaza, Lijia Village, North Section of Yanta Road, Beilin District, Xi\u2019an City, Shaanxi Province. The contractual relationship is governed by Chinese law and also applies to export business.<\/p>\n

    Safety:<\/strong> Safety data sheets can be obtained on the company\u2019s website huataibio.com, and relevant products have corresponding markings.<\/p>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

    10. Warning<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    The company\u2019s plant extract products are professionally developed and carefully manufactured to meet the needs of various customers in different fields. Plant extract products have high safety under normal use, but customers should ensure the rationality and safety of operation by themselves during use. If any adverse consequences are caused by the customer\u2019s own improper behavior, the company will not be liable.<\/p>\n

    The company reminds customers that before using plant extract products, they can understand the general characteristics and potential risks of the products through reliable channels on their own. Different plant extracts may have different characteristics and scopes of application, and customers should choose and use them carefully according to the actual situation. The company is committed to providing high-quality products to customers, but cannot be responsible for losses caused by customers\u2019 own decisions and behaviors.<\/p>\n
